Practice Areas

Business
Contract drafting and review, establishing new business entities (including corporations, partnerships and limited liability companies), commercial collections, contract disputes, commercial loan document review, business purchases, partner and shareholder disputes, buy-sell agreements, employment agreements and non-compete agreements. Mr. Conley has over 26 years experience in business matters including both litigation and transaction matters. Litigation experience and insight helps identify options in structuring transactions and drafting agreements to avoid disputes. The firm has helped numerous clients buy and sell businesses including restaurants, landscape firms, medical practices, veterinary clinics, engineering firms, retail shops and others. Mr. Conley has handled transactions involving multi-million dollar construction loans and asset purchases.  The firm regularly meets with new clients to select an appropriate business entity and then works with these clients over the long term as they need more specialized legal services.
Real Property
Approximately one half of the firm's practice involves real estate matters including purchases and sales of raw land, income properties and residences, boundary and access disputes, purchase contract disputes, review of title matters, and preparation of contracts, promissory notes, deeds of trust and easements. Mr. Conley has provided professional education seminars on access easements and has litigated real estate contract and easement disputes in El Paso, Teller and Park Counties. Having lived in Woodland Park for 18 years, Mr. Conley has worked on transactions from the mouth to the top of Ute Pass including Colorado Springs, Woodland Park, Divide, Florissant, Lake George and Cripple Creek.
Commercial
Sales and service agreements, purchase orders and bid letters, creditor and debtor rights, collections and legal issues involving the Uniform Commercial Code.  Mr. Conley works with clients to develop comprehensive but usable forms to serve their businesses.  The importance of this work is proven by the number of disputes avoided and the disputes won at trial when litigation cannot be avoided.
Conservation Easements
A significant portion of the firm's practice is devoted to drafting conservation easements, working with landowners to ensure compliance with Federal and State Tax code requirements for income tax deductions and state tax credits, and addressing enforcement issues for land trusts. Mr. Conley serves as the legal counsel for the Palmer Land Trust, the largest land trust in Southeastern Colorado with stewardship responsibility for over 70,000 acres under easement. He has also worked on easements involving the Colorado Cattlemen's Agricultural Land Trust, Colorado Open Lands, the Conservation Fund, the Trust for Public Lands and the Black Canyon Land Conservancy. Over the past 15 years, Mr. Conley has worked on approximately 80 easement transactions.
Construction
Drafting construction agreements for commercial and residential construction projects, litigating mechanic's lien and contract disputes. Mr. Conley represents a number of sub-contractors and general contractors as well as building material supply companies. He has also represented owners in construction defect and payment disputes.
Farm and Ranch Law
Having lived in a rural county and working with ranchers on conservation easements, Mr. Conley is familiar with the unique business requirements that apply to farms and ranches.  He has represented clients buying and selling agricultural properties.
General Civil Litigation
Approximately one half of the firm's practice involves litigation in each of the practice areas described above. The goal in litigation is to meet the client's needs, whether the client be risk adverse or motivated to aggressively pursue their claim. Mr. Conley is an experienced litigator who has conducted jury and court trials ranging from one day to two weeks and arbitrations ranging from one day to three weeks.
